These Marketplace Terms (the "Terms") govern the purchase and sale of cards on the platform operated by CYLIMIT, SAS ("CyLimit", "we"). They supplement and form an integral part of our Terms of Service and Sale (the "Terms of Service") and must be read together with our Game Rules, our Responsible Gaming page and our Privacy Policy. In the event of a conflict on a matter specific to the marketplace, these Terms prevail.
Cards sold on the marketplace are not investment products. Their value can fluctuate significantly and is not guaranteed. CyLimit provides no financial, tax or investment advice. Only purchase what you can afford to lose.
CyLimit operates two distinct trading systems, both settled in USDC (a stablecoin issued by Circle, native to the Base blockchain) on the Base blockchain (an Ethereum layer-2 network developed by Coinbase). Depending on which system is involved, CyLimit's status and the applicable rights differ.
Primary market : Sales by auction organised by CyLimit, which acts as the professional seller of the cards it owns. You take part as a buyer (bidder).
Secondary market : Fixed-price sales between Users. CyLimit is neither seller nor buyer here: it acts solely as the technical operator of the platform.
Seller : The User who lists a card for sale on the secondary market.
Buyer : The User who acquires a card on the primary or secondary market.
NFT Card : A card of blue, pink or yellow rarity, existing as a non-fungible ERC-721 token on the Base blockchain. Only these cards are tradable on the marketplace.
The white cards and free cards are off-chain (non-NFT) game items with no market value. They cannot be sold or transferred on the marketplace. Likewise, bidons, white bidons and XP are closed-loop virtual game units: non-purchasable, non-cashable, with no monetary value, and cannot be used to pay on the primary or secondary market (which settle only in USDC or, where applicable, by bank card).
On the primary market, CyLimit auctions NFT Cards that it owns. The card acquired at the end of the auction is delivered to your wallet and marked as resulting from a first sale (first owner). CyLimit sets the auction rules (starting price, minimum increment, duration) and acts as a professional seller.
Two payment methods are available to bid:
You may disable auto-bidding at any time: you then keep your current bid (you do not give up the amount already committed), but the system stops bidding on your behalf. The amount of your current bid then remains on hold, as a bank pre-authorisation if you pay by card, or reserved in escrow in USDC, with the surplus up to your unreached maximum being released, and is only charged if you win the auction.
No CyLimit marketplace fee is charged on primary-market auctions. However, if you pay by bank card, a card-payment fee applies (see the Fees section).
On the secondary market, a User (the Seller) lists an NFT Card they own at a fixed price they freely set, payable in USDC.
CyLimit does not take part in concluding the sale between Seller and Buyer on the secondary market: it is neither a party, nor an agent, nor an intermediary in the sense of matching the parties' interests. The Seller is solely responsible for setting the price of their card; the Buyer is solely responsible for evaluating that price. CyLimit does not control the value, relevance or fairness of the prices offered and makes no representation as to the value of a card, a Seller, a Buyer or a listing.
Resale and XP. Reselling a card halves that card's accumulated XP. Bear this in mind before selling: this effect is irreversible and affects the card's game value for its new owner.
The fees below correspond to Phase 1, currently in force. All applicable fees and their exact amounts are clearly displayed to you before validation of any transaction.
Fixed-price sale (secondary market) : The Seller pays a CyLimit fee equal to max(0.05 USDC; 0.05% of the price). The Buyer pays no CyLimit fee.
Auctions (primary market) : No CyLimit marketplace fee is charged.
Bank-card payment : When you pay for an NFT Card purchase by bank card (auction or fixed-price sale), a CyLimit card-payment fee of 25% (with a minimum of 0.35 USDC) is added. This fee is shown before validation.
Funding (Coinbase on-ramp) : CyLimit charges no fee on deposits. If you fund your wallet by buying USDC via Coinbase, only Coinbase's own fees may apply: they are set and shown by Coinbase before validation, never by CyLimit.
The card-payment fee is a CyLimit service fee, separate from the payment provider's actual cost. If you wish to avoid it, you may pay in USDC. CyLimit reserves the right to change its fees at any time, with prior notice. Any change applies to transactions occurring after it takes effect.
No royalty or creator fee is charged on resales. Bidons, white bidons and XP are not cashable and cannot be withdrawn or converted into currency.
CyLimit operates on a hybrid model. During a transaction, the transfer of ownership is first recorded in our systems (off-chain); on-chain settlement is then carried out on a deferred basis via a processing queue and CyLimit's master wallet. The state recorded in our systems and the on-chain state may therefore temporarily diverge until the blockchain transfer is confirmed.
On-chain transfers are performed by CyLimit's master wallet based on the approvals you have granted (NFT transfer approval to the Marketplace contract and USDC spending allowance). You may revoke these approvals at any time via the dedicated revocation pages; revocation may, however, prevent ongoing transactions from being finalised.
You keep control of your assets. Your wallet key is held and secured by Coinbase, never by CyLimit, which knows only your public address. The approvals above are the standard mechanism of any on-chain marketplace: they serve only to execute the operations you initiate, can be revoked at any time, and grant CyLimit no ownership of, or free control over, your assets. You may at any time withdraw your USDC or transfer it to an external wallet via Coinbase.
Network fees (gas) are currently covered by CyLimit (via its Coinbase paymaster); you have no gas fees to pay. CyLimit reserves the right to change this arrangement. Transfers are made on the Base blockchain and are publicly viewable on basescan.org.
Transactions carried out on the marketplace are recorded immutably on the Base blockchain. Once settled on-chain, they cannot be modified, cancelled or deleted by CyLimit or by anyone outside the transaction. Every sale is final.
Exercise the utmost diligence before confirming a bid or purchase: these operations are by nature definitive and irreversible.
No refund is due once a transaction has settled, except where the law requires one, in particular where it is established that a transaction was carried out by a minor or was tainted by fraud, as well as in the event of a technical failure attributable to CyLimit (in which case a refund or correction is made after review).
CyLimit disclaims all liability for assets (USDC, ETH or tokens) sent to the wrong network or address. A recovery tool may be offered for certain funds sent to the wrong network, with no guarantee of success.
Primary market (sale by CyLimit). NFT Cards constitute digital content supplied immediately. By proceeding with the purchase, you expressly request immediate performance of the contract and acknowledge that you waive your 14-day right of withdrawal in accordance with Article L221-28 of the French Consumer Code. A confirmation is sent to you by email. The legal guarantee of conformity of digital content remains applicable to this sale, in which CyLimit acts as a professional seller (see the Terms of Service).
Secondary market (sale between Users). The right of withdrawal, which benefits only consumers in their dealings with a professional, does not apply to a sale concluded between Users. Any applicable guarantees are owed by the selling User, not by CyLimit. Refunds are only possible exceptionally, in the cases set out in the Finality and irreversibility section.
The sale of a card may constitute taxable income, in particular where its sale price exceeds its purchase price. Movements of digital assets (USDC, ETH) may also generate taxable capital gains. You are solely responsible for declaring your income and gains to the competent tax and social-security authorities.
Nothing in this section constitutes tax, financial or legal advice. We encourage you to contact the competent authorities to ensure you comply with the rules applicable to you.
Users who are tax resident in France can find information and meet their obligations via the French tax administration website, impots.gouv.fr, and, where applicable, via the URSSAF website, urssaf.fr.
You undertake not to use the marketplace to circumvent any tax, social-security or regulatory obligation applicable to you, to launder funds, to finance or support any illicit or terrorism-related activity, or otherwise in breach of the law.
CyLimit reserves the right, to the extent permitted by law and where legally required or justified, to monitor transactions, request additional information, suspend or freeze an account or a transaction, and to report to the competent authorities (in particular TRACFIN and the French National Gaming Authority, the ANJ).
French residents (JONUM regime). If you reside in France, a weekly spending limit that you set applies to your NFT Card acquisitions (pack purchases, secondary-market purchases and won auctions), regardless of the payment method, including bank card. This limit is calculated in euros over a rolling 7-day period, on a gross basis (sales are not deducted): a decrease takes effect immediately, an increase takes effect after a 48-hour delay. Identity verification (KYC) is also required to keep selling and playing your coloured NFT Cards beyond your provisional access period. To learn more, see our Responsible Gaming page.
Withdrawing USDC into fiat currency (off-ramp) is done via Coinbase and requires approved identity verification (KYC). CyLimit is not a party to this withdrawal operation, which is subject to Coinbase's terms and obligations. As bidons, white bidons and XP have no monetary value, they can never be withdrawn.
Secondary-market listings can be sorted and filtered according to various criteria offered in the interface (for example price, rarity, rider, serial number or season). The default sort criterion and available filters are shown directly in the marketplace interface and may evolve in order to improve the relevance and readability of the display.
On the secondary market, any claim relating to a transaction must first be resolved between the Buyer and Seller concerned. To the fullest extent permitted by law, CyLimit cannot be held liable for damages arising from the sale, purchase, price or any other act of Users on the secondary market.

Failing an amicable resolution, and in accordance with Articles L611-1 et seq. of the French Consumer Code, you may use, free of charge, the consumer mediator CM2C (49 rue de Ponthieu, 75008 Paris, cm2c.net). You may also use the European online dispute resolution (ODR) platform: ec.europa.eu/consumers/odr.
